Terms of Service

By using the website, software, content, and subscription services (the "Service") provided by Merini (the "Company"), you agree to these Terms and to our Privacy Policy. If you do not agree, you may not use the Service.

Merini provides trading software such as charting/analysis tools, market and educational information, and a demo (paper) trading environment. Merini is not a licensed financial investment firm (broker-dealer or investment adviser) and does not solicit or arrange trades with any particular broker. Users open and connect (BYO) an account at a broker of their own choosing.

You may connect a broker account that you have chosen and opened yourself, and place orders directly from the charts and tools (BYO). In that case the Company acts only as a technical conduit that transmits your order instructions to your broker; it is not a party or counterparty to any trade. The Company is not responsible for whether or at what price an order is executed, for slippage, rejection or amendment, for margin or liquidation, for swaps or fees, or for your broker's financial soundness or service interruptions. Your funds and positions are held and managed entirely by your broker; the Company does not take custody of your funds. Broker connections are made by delegated authorization (e.g. OAuth); you may disconnect at any time, and the Company does not store your broker login password. The Company may require an approval step before enabling live trading (for KYC, jurisdiction, and terms-compliance checks) and may, in its sole discretion, refuse, suspend, or terminate a connection. Live trading may be unavailable in certain countries/jurisdictions; you are responsible for confirming, and you represent and warrant, that such trading is permitted under the laws of your residence and nationality.

You must be at least 18 years old, provide accurate information at sign-up, and keep your credentials secure. All trading must be conducted only under your own name and with your own funds. You may not use the Service where prohibited by the laws of your country of residence.

Paid subscriptions renew automatically for the selected term (monthly/annual) and are charged at the start of each term until cancelled. Payments are processed by the Company's authorized reseller and Merchant of Record, whose terms and tax handling may apply. Displayed prices are launch prices; price changes are announced in advance and apply to existing subscribers from their next renewal. Subscriptions are for software/information access and are independent of any trading gains or losses.

You may cancel your subscription at any time. Upon cancellation, access continues until the end of the already-paid current billing period, after which automatic renewal stops.

Refunds are governed by our separate Refund Policy (/refunds), which accounts for the nature of digital subscriptions and any consumer withdrawal rights under applicable law.

You may not use the Service for unlawful purposes; trade under another person's name or with another person's funds; copy, reverse-engineer, or resell the Service; misuse community features to solicit investment, sell trade signals, or promote copy-trading; or abuse the Service or a connected broker account through automation or bots.

All content, tools, data, signals, and indicators in the Service are for informational purposes only and are not investment advice or solicitation. Investment decisions and their consequences are solely your responsibility. Past performance does not guarantee future returns. Leveraged/margin products (overseas futures, CFDs, etc.) carry a high degree of risk and you could lose more than your initial deposit. Short-term and high-frequency trading carries particularly high risk. Before trading you should consider your financial situation and risk tolerance and, where appropriate, consult a qualified financial professional.

Quotes, charts, candles, and computed values shown in the Service are provided by third-party data providers and brokers and are for informational purposes. The Company does not guarantee the accuracy, completeness, timeliness, or uninterrupted availability of data, and is not liable for damages arising from data delays, errors, or omissions. Displayed prices may differ from actual execution prices.

All rights in the Service and its software, design, and content belong to the Company or its licensors. These Terms grant only a limited, non-exclusive right to use the Service for personal, non-commercial purposes.

The Service is provided "as is" and "as available," and the Company makes no express or implied warranties. To the maximum extent permitted by applicable law, the Company and its officers, affiliates, and licensors shall not be liable for quote delays, interruptions or errors, for damages caused by third parties (brokers, payment processors, infrastructure, data providers), or for your trading or investment losses — including any direct, indirect, incidental, or consequential damages and loss of profit. Rights guaranteed to consumers by mandatory law are not affected.

You agree to indemnify, defend, and hold harmless the Company and its officers, agents, partners, and licensors from any and all claims, damages, losses, and costs (including reasonable legal fees) arising from (i) your use of the Service, (ii) your breach of these Terms, (iii) your violation of applicable law or any third-party right, or (iv) your trading or investment activity.

These Terms are governed by the laws of [jurisdiction — to be confirmed after legal review]. Any dispute relating to these Terms or the Service shall first be resolved by good-faith negotiation between the parties; failing that, it shall be subject to [the competent court or arbitration — to be confirmed after legal review]. Consumer rights and venue guaranteed by mandatory law are not affected.
